Terms of Service

1. What SariXchange is

SariXchange is a peer-to-peer marketplace operated by Sari Exchange Corporation. We connect verified buyers and sellers in the Philippines. We are a platform, not a party to any transaction — we do not buy, sell, or hold goods on behalf of users, except where SariPay escrow is used (see Section 6).

2. Who can use SariXchange

You must be at least 18 years old and a resident of the Philippines. By creating an account, you confirm:

  • ·You are using your real identity — no aliases or third-party accounts.
  • ·All information you provide, including your payment account details during SariVerified verification, is accurate.
  • ·You have the legal right to sell any item you list.
  • ·You have read and agree to these Terms and our Privacy Policy.

3. Identity verification

SariXchange uses a three-tier identity verification system. SariVerified confirms your identity via a ₱1 payment through a BSP-regulated GCash, Maya, InstaPay, or QRPh account. SariTrusted additionally requires a valid DTI or SEC Certificate of Registration. Submitting forged, altered, or stolen business registration documents is a violation of Republic Act 10175 (Cybercrime Prevention Act) and RPC Art. 172 and may be reported to the NBI Cybercrime Division. Your verified identity is tied to your account permanently — you cannot transfer or delete it without closing your account.

4. Prohibited items and conduct

You may not list or sell: illegal firearms or explosives, prohibited drugs or controlled substances, counterfeit or trademark-infringing goods, stolen property, forged government documents, live protected wildlife, human organs, pirated media, or items subject to international sanctions. Listing prohibited items results in immediate removal and may result in permanent account suspension and reporting to authorities.

You may not use SariXchange to harass, defraud, impersonate, or threaten any other user. Both buyers and sellers are subject to SariXchange's Trust & Safety policy.

5. Listing accuracy

Sellers are responsible for the accuracy of their listings — photos, descriptions, condition, and price. Listings found to significantly misrepresent an item may be removed and the seller may receive a strike on their account. SariXchange is not liable for disputes arising from inaccurate listings, but will assist with mediation and maintain all transaction records for legal use.

6. SariPay and holding deposits

SariPay is an optional escrow service powered by PayMongo (BSP-licensed). When a buyer pays via SariPay, funds are held until delivery is confirmed. Sellers must ship within 3 business days of payment.

Holding deposits (10% of listing price) are binding agreements. A seller who sells a reserved item to another buyer while a holding deposit is active commits deposit fraud and will face: full deposit refunded to the buyer as Sari Credits, an equal penalty charged to the seller, a trust score deduction, and a formal strike on their account. SariXchange charges a convenience fee of ₱25 per SariPay transaction. PayMongo payment processing fees (2.5% + ₱15) are disclosed at checkout. All fees are non-refundable except in cases of confirmed seller fraud, where SariXchange absorbs the processing cost.

7. Sari Credits

Sari Credits are non-monetary platform credits issued as compensation for certain violations (e.g., deposit fraud by a seller) or as promotional rewards. They are non-transferable, have no cash value, and can only be applied to SariPay purchases. Unused credits remain in your account indefinitely. Credits are forfeited upon permanent account termination.

8. Disputes and enforcement

SariXchange provides a structured dispute resolution process. We maintain timestamped records of all transactions, chat messages, and listing activity. For confirmed fraud cases, SariXchange will compile an evidence package for use in civil action or law enforcement referral. Buyer and seller disputes are first given a 72-hour settlement window before escalation. See our Trust & Safety Policy for the complete enforcement framework.

9. Account termination

SariXchange may suspend or permanently ban accounts that violate these Terms. You may close your account at any time by contacting us. Upon closure, your personal data is deleted within 30 days, except where retention is required by Philippine law or ongoing legal proceedings. A one-way hash of your verified payment account (GCash, Maya, InstaPay, or QRPh) is retained to prevent re-registration under the same identity.

10. Limitation of liability

SariXchange is not liable for losses arising from user-to-user transactions, including non-delivery, item discrepancy, or payment fraud between parties. Our liability in any claim is limited to the SariXchange fees paid in the transaction in question. We provide the platform, verification, and mediation — not a guarantee of every outcome.

11. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms shall be subject to the jurisdiction of Philippine courts. Consumer disputes may also be referred to the DTI Consumer Arbitration Unit or the National Privacy Commission, as applicable.

Philippine Data Privacy Act compliance

SariXchange operates under Republic Act 10173 (Data Privacy Act of 2012). As a personal information controller, we are registered with the National Privacy Commission. Your rights under the DPA are listed in Section 8 below.

Usage data

  • ·Pages viewed and search terms (for product improvement)
  • ·Device type and operating system
  • ·IP address (for fraud detection and security)

2. How we use your data

  • To verify your identity and maintain the integrity of the marketplace.
  • To facilitate transactions between buyers and sellers.
  • To detect and prevent fraud, scams, and account abuse.
  • To send you transaction updates, security alerts, and (with your consent) product news.
  • To comply with Philippine legal requirements, including responses to valid legal orders.
  • To improve our platform based on aggregated, anonymized usage data.

3. What we do NOT do with your data

  • We do not sell your personal data to any third party.
  • We do not share your verification details with other users or couriers.
  • We do not use your data for advertising profiling or behavioral targeting outside SariXchange.
  • We do not store full payment card details — PayMongo handles payment processing under PCI-DSS.

4. Who we share data with

We share data only as necessary to operate the platform:

PayMongo

Payment processing for SariPay transactions. BSP-licensed e-money issuer.

Supabase

Encrypted database and authentication infrastructure. Data is stored in Singapore (ap-southeast-1), covered under our DPA.

Couriers (LBC, J&T, etc.)

Delivery address and contact details for shipped orders — shared only when an order is confirmed.

Philippine authorities

Verified payment identity details and transaction records, only when required by a valid legal order, court subpoena, or when we are legally obligated to report (e.g., confirmed scam, CSAM).

5. How we protect your data

  • ·All data is encrypted in transit (TLS 1.3) and at rest (AES-256).
  • ·Business verification documents (DTI/SEC registration) are accessible only to designated SariXchange trust reviewers.
  • ·Access to production data is restricted by role and logged.
  • ·We conduct regular security reviews and penetration testing.

6. Data retention

We retain your data for as long as your account is active, plus a 30-day deletion window after account closure. Transaction records are kept for 5 years as required by Philippine commercial law (Civil Code Art. 1106).

Business verification documents are deleted upon account closure. For permanently banned accounts, only a one-way hash of the verified payment account is retained to prevent re-registration.

7. Cookies and tracking

SariXchange uses essential cookies required to operate the platform (authentication session, security tokens). We do not use third-party advertising cookies. Analytics data is aggregated and anonymized. You can disable cookies in your browser, but this will prevent you from logging in.

As a data subject, you have the right to:

Request a copy of the personal data we hold about you.

Right to object

Object to processing of your data for purposes beyond operating your account.

Right to erasure

Request deletion of your data. Some data must be retained per Philippine law — we will tell you what and why.

Right to data portability

Request your transaction history and profile data in a machine-readable format.

Right to rectification

Correct inaccurate personal data we hold about you.

Right to file a complaint

File a complaint with the National Privacy Commission (privacy.gov.ph) if you believe your rights have been violated.
